Terms of Service
These terms govern your use of YardGuild. By signing up, you agree to them.
Note: This document is a starter template. Before relying on the liability + jurisdiction clauses for serious commercial use, have a SaaS lawyer in your jurisdiction review.
1. The service
YardGuildis web-based operations software for equipment-rental yards. We provide it "as is" — best-effort, in continuous improvement. We're not responsible for the rental decisions you make, the contracts you sign with your renters, the bonds you hold, or the safety of the equipment you hire out.
2. Your account
You're responsible for keeping your password safe and for everything done under your account. Tell us at security@yardguild.com if you suspect unauthorised access.
You must be at least 18 and authorised to bind your business to these terms.
3. Subscription, billing, cancellation
- Subscriptions are month-to-month, billed in advance via PayPal.
- The first 30 days are free; we don't take payment details to start the trial.
- You can cancel any time from /counter/billing/. Cancellation takes effect at the end of the current billing period; we don't prorate refunds for partial months.
- If a subscription payment fails, we attempt re-billing for 7 days, then suspend; data is retained for 90 days before deletion.
- Prices are subject to change with 30 days' notice via email; you can cancel before the change takes effect.
- Local taxes (GST / VAT / sales tax on the subscription itself) are added to your invoice where applicable.
4. Acceptable use
Don't use YardGuild to:
- Process illegal transactions (drug paraphernalia hire, regulated weapon rentals without licence, etc.)
- Send spam, harass renters, or violate marketing-consent laws (Spam Act AU, CAN-SPAM US, UK PECR, etc.)
- Reverse-engineer, decompile, or otherwise probe the platform looking for weaknesses (responsible disclosure is welcome at security@yardguild.com)
- Resell access to the platform under your own brand without a written reseller agreement
5. Data ownership
Your data — your inventory, contracts, renter records, photos — is yours. We have a limited licence to operate on it as needed to run the service. You can export it any time via /counter/reports/ (CSV) or via the Pro-tier API.
For your renters' data: you're the data controller, we're the data processor. See the privacy policy for how we treat it.
6. Availability + uptime
We aim for 99.9% monthly uptime on the operator-facing API and 99.99% on the renter-facing waiver kiosk. We don't formally guarantee these numbers in v1 — if you need an SLA with credits, contact us about an enterprise agreement.
Scheduled maintenance is announced via email with at least 48 hours' notice; emergency patches may happen with less notice if security demands.
7. Liability
To the extent allowed by law, YardGuild's total liability for any claim arising out of this agreement is capped at the total fees you paid us in the 12 months preceding the claim.
We don't exclude or limit liability for: (a) anything we're legally prohibited from excluding (e.g. Australian Consumer Law guarantees, UK Consumer Rights Act 2015 rights for individuals); (b) fraud or deliberate concealment; (c) personal injury caused by our negligence.
We are not liablefor: business decisions you make using data from the platform, equipment failures or accidents involving the gear you rent out, disputes between you and your renters, or third-party service outages outside our control (PayPal, AWS, the recipient's email provider, etc.).
8. Termination
You can cancel any time. We can terminate or suspend your account with cause (acceptable-use violation, non-payment, legal requirement). For non-cause termination, we'll give 90 days' notice and refund any prepaid period.
On termination, you have 90 days to export your data; after that we permanently delete it (except audit logs retained for tax compliance as described in the privacy policy).
9. Governing law + disputes
These terms are governed by the laws of New South Wales, Australia. Any dispute we can't resolve via good-faith email exchange goes to the courts of NSW. Nothing in this clause overrides any non-waivable rights you have under local consumer-protection law in your country.
10. Changes
Material changes to these terms are announced to active subscribers by email at least 30 days before they take effect; you can cancel before then if you don't accept.
